Agreement on the Provision of Digital Services
FOP Kravchuk Volodymyr Serhiiovych (Individual Entrepreneur Kravchuk Volodymyr Serhiiovych), Tax ID (IPN): 3570110571, registered address: 108g/54 Peremohy Ave., Chernihiv, Chernihiv Oblast, Ukraine (hereinafter referred to as the "Service Provider"), hereby publishes this Public Offer Agreement (hereinafter referred to as the "Agreement") addressed to any individual or legal entity (hereinafter referred to as the "User" or "Customer") for the provision of digital services through the website https://tripstone.app (hereinafter referred to as the "Platform").
This Agreement is a public offer in accordance with Articles 633 and 641 of the Civil Code of Ukraine. By making a payment for any service on the Platform, the User fully and unconditionally accepts all terms of this Agreement (acceptance of the offer).
1. Definitions
- 1.1. Service — access to AI-powered travel planning tools provided through the Platform, including the generation of personalized trip itineraries.
- 1.2. Single Plan Unlock — a one-time payment of $5.00 USD granting the User access to one full AI-generated trip plan.
- 1.3. Annual Subscription — a payment of $30.00 USD granting the User unlimited access to all AI-generated trip plans on the Platform for a period of 12 (twelve) months from the date of payment.
- 1.4. Free Preview — the ability to view 1 (one) day of any trip plan at no charge, available to all users without payment.
- 1.5. Personal Account — the User's personal section on the Platform, created upon registration.
2. Subject of the Agreement
2.1. The Service Provider undertakes to provide the User with access to digital trip planning services via the Platform, and the User undertakes to pay for such services in accordance with the terms of this Agreement.
2.2. The Service is provided entirely in digital form via the internet. No physical goods are delivered under this Agreement.
3. Procedure for Acceptance
3.1. This Agreement is considered accepted by the User from the moment of making a payment for any service on the Platform.
3.2. By accepting this Agreement, the User confirms that they:
- —Are at least 16 years of age (or have parental/guardian consent if under 18);
- —Have read and agree to the Terms and Conditions, Refund Policy, and Privacy Policy published on the Platform;
- —Provide accurate personal and payment information.
4. Rights and Obligations of the Service Provider
4.1. The Service Provider undertakes to:
- —Provide the User with access to paid services immediately upon successful payment;
- —Ensure the Platform operates in a reasonable and technically feasible manner;
- —Process refund requests in accordance with the Refund Policy;
- —Protect User personal data in accordance with applicable law.
4.2. The Service Provider has the right to:
- —Modify the Service, its features, pricing, or these terms with prior notice to Users;
- —Suspend or terminate a User's access in case of violation of this Agreement;
- —Perform scheduled and unscheduled maintenance, during which the Platform may be temporarily unavailable;
- —Refuse service to any User who violates these terms.
5. Rights and Obligations of the User
5.1. The User has the right to:
- —Use the Service in accordance with the terms of the purchased plan;
- —Contact support for technical issues or refund requests;
- —Cancel their Annual Subscription at any time;
- —Request deletion of their personal data.
5.2. The User undertakes to:
- —Provide accurate information during registration and payment;
- —Use the Service only for personal, non-commercial purposes;
- —Not distribute, resell, or publicly reproduce content from the Platform;
- —Not attempt to interfere with, hack, or disrupt the Platform.
6. Pricing and Payment
6.1. Service prices are listed on the Platform in US Dollars (USD).
6.2. Available plans:
- —Single Plan Unlock: $5.00 USD (one-time)
- —Annual Subscription: $30.00 USD (per year, auto-renewing)
6.3. Payment is processed through the WayForPay payment gateway. Accepted payment methods: Visa and Mastercard credit/debit cards.
6.4. The Service Provider reserves the right to change prices. Price changes do not affect already completed purchases or active subscriptions.
6.5. The moment of payment is considered the moment when funds are credited to the Service Provider's account via the payment gateway.
7. Service Delivery
7.1. All services are delivered digitally and instantly upon successful payment.
7.2. The User gains access to the purchased content through their Personal Account on the Platform.
7.3. The Service Provider is not responsible for delays caused by the User's internet connection, device, or third-party payment processing.
8. Refunds
8.1. All purchases are generally final and non-refundable due to the digital nature of the Service.
8.2. Exceptions may apply in cases of technical failure, duplicate charges, or service materially not as described, as outlined in the Refund Policy.
8.3. Cancellation of the Annual Subscription does not entitle the User to a refund for the remaining subscription period.
9. Intellectual Property
9.1. All materials on the Platform, including but not limited to text, graphics, logos, software, and AI-generated content, are the intellectual property of the Service Provider or its licensors.
9.2. The User receives a limited, non-exclusive, non-transferable license to use generated trip plans for personal purposes only.
9.3. Any unauthorized reproduction, distribution, or commercial use of Platform content is prohibited.
10. Limitation of Liability
10.1. The Service is provided "as is". The Service Provider does not guarantee the accuracy of AI-generated travel information, including prices, availability, or operating hours of third-party venues.
10.2. The Service Provider is not liable for:
- —Decisions made by the User based on AI-generated content;
- —Actions or services of third parties mentioned in trip plans;
- —Losses arising from unauthorized access to the User's account;
- —Service interruptions caused by force majeure or technical maintenance.
10.3. The Service Provider's total liability under this Agreement shall not exceed the amount paid by the User in the 12 months preceding the claim.
11. Personal Data
11.1. The Service Provider collects and processes User personal data in accordance with the Law of Ukraine "On the Protection of Personal Data" and applicable international regulations (including GDPR where applicable).
11.2. By accepting this Agreement, the User consents to the collection and processing of their personal data for the purposes of service delivery, payment processing, and communication.
11.3. The User has the right to request access to, correction, or deletion of their personal data by contacting support@tripstone.app.
12. Force Majeure
12.1. Neither party shall be liable for failure to perform obligations under this Agreement if such failure results from force majeure circumstances, including but not limited to: natural disasters, war, government actions, power outages, internet disruptions, or cyberattacks.
13. Dispute Resolution
13.1. All disputes arising from this Agreement shall first be resolved through negotiation by contacting support@tripstone.app.
13.2. If a dispute cannot be resolved through negotiation within 30 (thirty) calendar days, it shall be resolved in accordance with the laws of Ukraine in the courts of Ukraine, unless otherwise required by mandatory consumer protection laws of the User's country of residence.
14. Term and Termination
14.1. This Agreement enters into force upon acceptance (payment) and remains in effect for the duration of the purchased service.
14.2. The Service Provider may terminate this Agreement and suspend User access in case of material breach of its terms.
